Named or numbered corporation? With a numbered corporation, your buinsess is assigned the next number in line followed by B.C. Ltd. This is common for a business not intending to rely on marketing the corporation name (“Big sale the weekend at 2492137 B.C. Ltd.” is probably not a memorable radio ad). On the other hand, a named corporation such as Bill’s Burgers Inc. is better for marketing will offer some protection in the market. Still confused? To be accepted by BC government, the name must have at least two elements in it, i.e. distinctive element and descriptive element. The distinctive element must be unique or made up words and can't be common English word. The descriptive element can be common words. Please note, the primary cause of name rejection is missing the distinctive element. A successful example is "Bill’s Burgers". The name 'Bill' is the distinctive/unique element; 'Burgers' is the descriptive element. Whether rejected or approved the BC government does not issue refunds so one of our Conductors will review your 3 name choices and advise if all 3 are likely to be rejected. You may add a director at a later time as well. Can I add a director later? Yes, a director can be added or removed at a later time. Simply contact you Conductor and they will assist you. What are the Director Requirements? An individual is not qualified to become or act as a director of a company if that individual is: (a) under the age of 18 years; (b) found by a court, in Canada or elsewhere, to be incapable of managing the individual’s own affairs; (c) an undischarged bankrupt; (d) convicted in or out of British Columbia of an offence in connection with the promotion, formation or management of a corporation or unincorporated business, or of an offence involving fraud, unless: (i) the court orders otherwise; (ii) 5 years have elapsed since the last to occur of (A)the expiration of the period set for suspension of the passing of sentence without a sentence having been passed; (B) the imposition of a fine; (C) the conclusion of the term of any imprisonment; and (D) the conclusion of the term of any probation imposed, or (iii) a pardon was granted or issued under the Criminal Records Act (Canada). Can I add foreigner as director? Foreigners can be Incorporator, director, officer or shareholder. As per corporation act in this province, there is no Canadian residency requirement of directors for this province; and therefore, Canadian citizen or foreign nationals can be directors.
