You will get copies of all documents which will be sufficient to open a bank account and ensure compliance with the Business Corporations Act.
How fast can I get docs?
All numbered company can be ready in 2 business hours. A named company takes just as long ONCE we have a name approval from the BC Government. Name approval takes about a week unless you pay $150 for one business day processing.
Who prepares it?

Is this a named or numbered corporation?

Named or numbered corporation?
With a numbered corporation, your buinsess is assigned the next number in line followed by B.C. Ltd. This is common for a business not intending to rely on marketing the corporation name (“Big sale the weekend at 2492137 B.C. Ltd.” is probably not a memorable radio ad). On the other hand, a named corporation such as Bill’s Burgers Inc. is better for marketing will offer some protection in the market. Still confused? Send in a name request and ask a Conductor to contact you before registering.

Name Rules?
To be accepted by BC government, the name must have at least two elements in it, i.e. distinctive element and descriptive element. The distinctive element must be unique or made up words and can't be common English word. The descriptive element can be common words. Please note, the primary cause of name rejection is missing the distinctive element. A successful example is "Bill’s Burgers". The name 'Bill' is the distinctive/unique element; 'Burgers' is the descriptive element. Whether rejected or approved the BC government does not issue refunds so one of our Conductors will review your 3 name choices and advise if all 3 are likely to be rejected.

How does name approval work?
You provide us with your 3 preferred names and one of our Conductors reviews the names before we submit then to the government for approval. If the name has a high chance of being rejected a Conductor or Lawyer will contact you advise you to submit new names. The approval process takes about a week unless you pay $150 for the one business day rush service.

What is the corporation's address?
It is the location where the operations of the business are physically located (where do you start and finish your work day). It can be a commercial rented place or home address but can't be a P.O Box. It is not registered with the government as a place to contact the corporation.
Can I change these address later?
Yes, these address can be changed later and in fact must be kept up to date. In many cases when commercial place is not rented yet, residential address is given.

Records Office

What is Records Office Address?
The minute book with all the corporate records must be kept in a location where they can be available for inspection during statutory business hours. It is because of this requirement that we at the Station act as your registered and records office. We will receive formal correspondence on behalf of the corporation (such as law suits or other formal or government notices) and forward them on to you when received. We will also manage which documents are made available for public inspection in accordance with the current laws.

Who is a director?
You may have heard that a corporation is a person in law, if true then the director is the brain that tells the corporation what to do. Typically, all the owners want to share control of the corporation and will be directors but an individual is not involved in the day to day operations of the corporation they likely don’t want to be and would not make a good director. Note, there is no requirement for the directors to have Canadian residency.

Why the residency question?
Foreigners can be incorporator, director, officer and/or shareholder. There is no requirement for the directors to have Canadian residency so foreign nationals can be directors but we do need to know their country of residence.

Should I add additional directors?
Each director has equal power and control over the corporation. Second director can remove primary director and vice versa. Therefore, you may add additional director whom you trust. You may add a director at a later time as well.

Can I add a director later?
Yes, a director can be added or removed at a later time. Simply contact you Conductor and they will assist you.

What are the Director Requirements?
An individual is not qualified to become or act as a director of a company if that individual is:
(a) under the age of 18 years;
(b) found by a court, in Canada or elsewhere, to be incapable of managing the individual’s own affairs;
(c) an undischarged bankrupt;
(d) convicted in or out of British Columbia of an offence in connection with the promotion, formation or management of a corporation or unincorporated business, or of an offence involving fraud, unless:
(i) the court orders otherwise;
(ii) 5 years have elapsed since the last to occur of
(A)the expiration of the period set for suspension of the passing of sentence without a sentence having been passed;
(B) the imposition of a fine;
(C) the conclusion of the term of any imprisonment; and
(D) the conclusion of the term of any probation imposed, or
(iii) a pardon was granted or issued under the Criminal Records Act (Canada).


Can I add foreigner as director?
Foreigners can be Incorporator, director, officer or shareholder. As per corporation act in this province, there is no Canadian residency requirement of directors for this province; and therefore, Canadian citizen or foreign nationals can be directors.
